Terms of Service

These Terms of Service (“Terms”) govern your use of the Collaborative Kitchens AI platform (the “Service”) provided by Collaborative Kitchens Management Services LLC (“we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. Account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your login credentials secure and for all activity under your account.

2. Subscription Plans and Billing

We offer Starter ($129/month), Pro ($249/month), and Enterprise (custom pricing) subscription plans. Plans renew automatically each month until cancelled.

• Free trial: A 14-day free trial is available on paid plans. No credit card is required to start. You will not be charged unless you choose a plan at or before the end of the trial.
• Beta program: Beta testers receive a set trial period (typically 15 days) with full access. Beta invites may include a promotional discount (applied automatically at first payment).
• Cancellation: You may cancel at any time from Settings → Billing. Access continues until the end of the current paid period — no refunds for unused time within a period.
• Refunds: Refunds are issued at our discretion for service failures or billing errors. Contact support.

3. Acceptable Use

You agree not to:

• Use the Service for anything illegal
• Reverse-engineer, scrape, or copy the Service
• Upload malware, spam, or content you don’t have rights to
• Use our AI assistants to generate content that violates Anthropic’s usage policies (which govern the underlying model)
• Resell, sublicense, or white-label the Service without written permission (Enterprise plans only)

We can suspend or terminate accounts that violate these Terms.

4. Your Data

You own everything you upload (recipes, menus, client data, documents, etc.). You grant us a limited license to host, process, and display that data strictly to operate the Service for you. We do not use your data to train our AI models or to market to third parties.

5. Our Intellectual Property

The Service, its software, branding, and design are owned by Collaborative Kitchens Management Services LLC. You may not copy or redistribute them.

6. AI Output

AI-generated content (menus, proposals, descriptions, images, emails) may be imperfect or contain errors. You are responsible for reviewing AI output before sending it to clients or acting on it. We do not warrant accuracy of AI output.

7. Third-Party Services

The Service integrates with third-party tools (Stripe, Clerk, Supabase, Vercel, Resend, Anthropic, Google Calendar, Google Maps, QuickBooks). Your use of those services is subject to their own terms. We are not responsible for outages or data handling by third parties.

Google API Services. When you connect Google Calendar, our use of Google user data is governed by the Google API Services User Data Policy, including the Limited Use requirements. We do not transfer Google user data to third parties except as needed to provide the connected feature, comply with applicable law, or as part of a merger or acquisition. We do not use Google user data for advertising or to train AI models. See our Privacy Policy for the full disclosure.

8. Availability

We aim for 99.5% uptime but do not guarantee the Service will always be available. Planned maintenance will be announced in advance when possible.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.

11. Indemnity

You agree to indemnify us against third-party claims arising from your use of the Service or your content.

12. Termination

You can cancel anytime. We can terminate accounts that violate these Terms, fail to pay, or remain inactive for over 12 months.

13. Changes to these Terms

We may update these Terms occasionally. Material changes will be announced by email at least 30 days in advance. Continued use after changes means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Delaware.
